Section 1 — We use AI throughout the Services

You acknowledge and agree that the Kornugle Parties (collectively, “Kornugle,” “we,” “our,” or “us” — including without limitation Cubierto Insurance LLC, Hogares Mortgage LLC, Finazo LLC, Kornugle Group LLC, and Cubierto Corredores de Seguros, S.A. de C.V.) use artificial intelligence, machine learning, large language models, generative AI, automated decision systems, computer vision, voice recognition, natural language processing, and similar technologies (collectively, “AI”) throughout the websites, mobile applications, AI assistants, WhatsApp services, telephone services, and all related properties (collectively, the “Services”). The Services use AI to:

1. operate chatbots, virtual assistants, and conversational interfaces (including, without limitation, those interacting with you on websites, by WhatsApp, by SMS, by voice, and by email);
2. generate product recommendations, quote comparisons, suggested actions, content summaries, and translations;
3. support, but not solely determine, underwriting, claims handling, fraud detection, and identity verification;
4. process voice notes, photographs, video, and uploaded documents (including, without limitation, photographs of vehicles, properties, and personal identification documents);
5. personalize the experience you receive on the Services;
6. measure and improve the performance of the Services; and
7. any other AI use we determine, in our sole discretion, to be appropriate.

Section 2 — AI is informational only — do not rely without independent verification

YOU ACKNOWLEDGE AND AGREE THAT ANY OUTPUT GENERATED BY AI ON OR IN CONNECTION WITH THE SERVICES IS PROVIDED “AS IS” AND “AS AVAILABLE” SOLELY FOR INFORMATIONAL PURPOSES. AI OUTPUT MAY CONTAIN ERRORS, OMISSIONS, INACCURACIES, FABRICATIONS (COMMONLY CALLED “HALLUCINATIONS”), OR OUT-OF-DATE INFORMATION. AI OUTPUT IS NOT, AND SHOULD NEVER BE INTERPRETED AS:

• Insurance advice
• Mortgage or lending advice
• Investment advice
• Legal advice
• Tax advice
• Medical advice
• A binding quote, offer, policy, loan commitment, or contract
• A substitute for advice from a qualified, licensed professional

You are solely responsible for evaluating, verifying, and confirming the accuracy of any AI output before relying on it for any decision, action, or purpose. You acknowledge and agree that you must consult an appropriately licensed insurance agent, mortgage broker or lender, financial advisor, attorney, accountant, or other qualified professional for any recommendation, decision, or transaction that affects you. No AI output shall be deemed advice from Kornugle, any Kornugle Party, or any of its officers, directors, managers, members, shareholders, employees, agents, or contractors.

Section 3 — No reliance — release — indemnity (AI errors)

TO THE FULLEST EXTENT PERMITTED BY LAW, AND IN CONSIDERATION OF YOUR ACCESS TO AND USE OF THE SERVICES, YOU HEREBY:

1. RELEASE Kornugle, its officers, directors, managers, members, shareholders, employees, agents, contractors, service providers, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees), of every kind and nature, known or unknown, arising out of or in any way connected with: (i) any AI output (including hallucinations, errors, inaccuracies, omissions, or out-of-date information); (ii) your reliance on any AI output; (iii) any decision you make, action you take, or action you fail to take based in whole or in part on AI output; and (iv) any third party's reliance on AI output that originated through your use of the Services;
2. WAIVE any and all rights and benefits conferred upon you by the provisions of California Civil Code § 1542 (and similar provisions of any other applicable jurisdiction), which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party”; and
3. INDEMNIFY AND HOLD HARMLESS the Released Parties from any and all third-party claims arising out of or in any way connected with AI output that you shared with, communicated to, or relied upon in dealings with any third party.

Section 4 — Training data — your authorization

By using the Services, you grant Kornugle and each Kornugle Party a perpetual, irrevocable, worldwide, royalty-free, fully-paid, sublicensable, transferable license to collect, use, store, copy, modify, distribute, display, perform, derive works from, reverse engineer, and otherwise exploit:

1. your queries, prompts, commands, messages, and other inputs to AI;
2. your conversations and transcripts with chatbots, virtual assistants, voice agents, and live agents;
3. recordings of any voice notes, phone calls, video sessions, or WhatsApp audio you provide;
4. photographs, videos, and other media you upload (including, without limitation, vehicle photos and property photos for insurance inspection);
5. documents you upload;
6. your profile data, preferences, and behavior data on the Services; and
7. any other information you provide or that we collect about you (collectively, “User Data”),

for the purpose of training, fine-tuning, refining, developing, evaluating, benchmarking, validating, deploying, and improving AI models, machine learning algorithms, automated decision systems, fraud-detection systems, voice-recognition systems, computer-vision systems, recommendation systems, and other predictive or analytical technologies (collectively, “AI Models”) operated by, on behalf of, or licensed to Kornugle, any Kornugle Party, or any successor or assignee of any of the foregoing.

This license survives termination of any service relationship with you and survives the deletion or de-identification of your User Data. You acknowledge that once your User Data has been incorporated into a trained AI Model, opt-out cannot remove it from that AI Model.

4.1 Limited opt-out

You may opt out of prospective training-data use, for User Data we collect after the opt-out is effective, by contacting us at privacy@kornugle.ai. Opt-out:

• Is prospective only;
• Does not apply to User Data already incorporated into trained AI Models;
• Does not apply to use of User Data for fraud detection, security, identity verification, compliance, audit, or operation of the Services as you have requested;
• Does not apply to de-identified, anonymized, or aggregated data; and
• Does not alter or limit any of the licenses granted in this Section 4 for previously-collected User Data.

4.2 Carve-outs from training

We do not knowingly use the following for AI Model training:

• Payment-card primary account numbers (PANs), full bank account numbers, and full Social Security numbers (we may use tokenized or hashed equivalents);
• Communications you have identified to us in writing as protected by legal privilege; and
• Any data category that applicable law specifically prohibits from being used for training.

Section 5 — No use of AI output to compete with us

You agree not to (and not to permit any other person to) use any AI output from the Services, or the Services themselves, to: (a) train, fine-tune, develop, validate, or improve any AI model, machine-learning system, or competing service; (b) reverse engineer or extract the AI Models or any portion thereof; (c) scrape, harvest, or aggregate AI outputs in bulk; or (d) build a competing product or service. Any breach of this provision constitutes a material breach of the Terms of Service and authorizes Kornugle to terminate your access immediately and to seek injunctive relief and monetary damages.

Section 6 — Human oversight for significant decisions

For any decision about you that produces legal or similarly significant effects (such as denial of an insurance policy, denial of a mortgage application, declination of credit, or termination of an account for fraud), a qualified human reviewer is involved in the final decision. AI is used as a decision-support tool and not as the sole decision-maker for any such legally significant outcome. This commitment is intended to comply with CPRA, CO-CPA, EU GDPR Art. 22 (where applicable), and similar laws.

Section 7 — AI persona identity

Every Kornugle-operated AI assistant identifies itself as an AI on the first turn of every conversation. Our AI assistants do not claim to be human and do not impersonate licensed individuals. When you ask “are you a real person?” the assistant will answer that it is an AI assistant and will route you to a human if you request one (typically by typing AGENT or AGENTE).

Section 8 — Supersession

This AI Disclosure supplements, and is incorporated by reference into, our Terms of Service and Privacy Policy. To the extent of any conflict between this AI Disclosure and the Terms of Service, the Terms of Service govern. To the extent of any conflict with our Privacy Policy, the Privacy Policy governs only with respect to information-handling practices; this AI Disclosure governs everything else relating to AI.

Sección 3 — Sin confianza — liberación — indemnización (errores de IA)

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY, Y EN CONSIDERACIÓN DE TU ACCESO Y USO DE LOS SERVICIOS, POR LA PRESENTE:

1. LIBERAS a Kornugle, sus directivos, directores, gerentes, miembros, accionistas, empleados, agentes, contratistas, proveedores de servicio, sucesores y cesionarios (colectivamente, las “Partes Liberadas”) de todos y cada uno de los reclamos, demandas, causas de acción, daños, pérdidas, responsabilidades, costos y gastos (incluyendo honorarios razonables de abogados), de toda clase y naturaleza, conocidos o desconocidos, que surjan de o en cualquier forma conectados con: (i) cualquier salida de IA (incluyendo alucinaciones, errores, inexactitudes, omisiones o información desactualizada); (ii) tu confianza en cualquier salida de IA; (iii) cualquier decisión que tomes, acción que emprendas o acción que dejes de emprender basada total o parcialmente en una salida de IA; y (iv) la confianza de cualquier tercero en una salida de IA que se originó a través de tu uso de los Servicios;
2. RENUNCIAS a todos y cada uno de los derechos y beneficios conferidos por las disposiciones de la Sección 1542 del Código Civil de California (y disposiciones similares de cualquier otra jurisdicción aplicable); e
3. INDEMNIZAS Y MANTIENES INDEMNES a las Partes Liberadas de todos y cada uno de los reclamos de terceros que surjan de o en cualquier forma conectados con salidas de IA que compartiste, comunicaste o en las que confiaste en tratos con cualquier tercero.

Sección 4 — Datos de entrenamiento — tu autorización

Al usar los Servicios, otorgas a Kornugle y a cada Kornugle Party una licencia perpetua, irrevocable, mundial, libre de regalías, totalmente pagada, sublicenciable y transferible para recopilar, usar, almacenar, copiar, modificar, distribuir, exhibir, ejecutar, derivar trabajos, hacer ingeniería inversa y de otro modo explotar:

1. tus consultas, prompts, comandos, mensajes y otros insumos a la IA;
2. tus conversaciones y transcripciones con chatbots, asistentes virtuales, agentes de voz y agentes en vivo;
3. grabaciones de cualquier nota de voz, llamada telefónica, sesión de video o audio de WhatsApp que proporciones;
4. fotografías, videos y otros medios que subas (incluyendo, sin limitación, fotos de vehículos y fotos de propiedades para inspección de seguros);
5. documentos que subas;
6. tus datos de perfil, preferencias y datos de comportamiento en los Servicios; y
7. cualquier otra información que proporciones o que recopilemos sobre ti (colectivamente, “Datos del Usuario”),

para el propósito de entrenar, ajustar, refinar, desarrollar, evaluar, benchmark, validar, desplegar y mejorar modelos de IA, algoritmos de machine learning, sistemas de decisión automatizada, sistemas de detección de fraude, sistemas de reconocimiento de voz, sistemas de visión por computadora, sistemas de recomendación y otras tecnologías predictivas o analíticas (colectivamente, “Modelos de IA”) operados por, en nombre de, o licenciados a Kornugle, cualquier Kornugle Party, o cualquier sucesor o cesionario de cualquiera de los anteriores.

Esta licencia sobrevive a la terminación de cualquier relación de servicio contigo y sobrevive a la eliminación o des-identificación de tus Datos del Usuario. Reconoces que una vez que tus Datos del Usuario se han incorporado a un Modelo de IA entrenado, el opt-out no puede removerlos de ese Modelo de IA.

4.1 Opt-out limitado

Puedes optar por no participar en el uso prospectivo de datos de entrenamiento, para Datos del Usuario que recopilemos después de que el opt-out sea efectivo, contactándonos en privacy@kornugle.ai. El opt-out:

• Es solo prospectivo;
• No aplica a Datos del Usuario ya incorporados a Modelos de IA entrenados;
• No aplica al uso de Datos del Usuario para detección de fraude, seguridad, verificación de identidad, cumplimiento, auditoría u operación de los Servicios como los has solicitado;
• No aplica a datos des-identificados, anonimizados o agregados; y
• No altera ni limita ninguna de las licencias otorgadas en esta Sección 4 para Datos del Usuario previamente recopilados.

4.2 Exclusiones del entrenamiento

No usamos conscientemente lo siguiente para entrenamiento de Modelos de IA:

• Números primarios de cuenta de tarjeta de pago (PANs), números completos de cuenta bancaria y números completos de Seguro Social (podemos usar equivalentes tokenizados o hasheados);
• Comunicaciones que nos hayas identificado por escrito como protegidas por privilegio legal; y
• Cualquier categoría de datos que la ley aplicable específicamente prohíba usar para entrenamiento.

Sección 5 — Sin uso de salida de IA para competir con nosotros

Aceptas no (y no permitir a ninguna otra persona) usar ninguna salida de IA de los Servicios, ni los Servicios mismos, para: (a) entrenar, ajustar, desarrollar, validar o mejorar cualquier modelo de IA, sistema de machine learning o servicio competidor; (b) hacer ingeniería inversa o extraer los Modelos de IA o cualquier porción de los mismos; (c) raspar, recolectar o agregar salidas de IA en masa; o (d) construir un producto o servicio competidor. Cualquier violación de esta disposición constituye una violación material de los Términos de Servicio y autoriza a Kornugle a terminar tu acceso inmediatamente y buscar medidas cautelares y daños monetarios.

Sección 6 — Supervisión humana para decisiones significativas

Para cualquier decisión sobre ti que produzca efectos legales o similarmente significativos (como negar una póliza de seguro, negar una solicitud hipotecaria, declinar crédito o cerrar una cuenta por fraude), un revisor humano cualificado está involucrado en la decisión final. La IA se usa como herramienta de soporte a la decisión y no como único decisor para ningún resultado legalmente significativo. Este compromiso está destinado a cumplir con CPRA, CO-CPA, EU GDPR Art. 22 (donde aplique) y leyes similares.

Sección 7 — Identidad de la persona-IA
